Terms & Conditions

By accessing or using our website and services, you agree to comply with and be legally bound by the following terms and conditions. Please review them carefully before using our services. If you do not agree with any part of these terms, you should discontinue use of our website and services immediately.

Applicability

(a) Unless a separate written agreement has been executed between the parties, these terms and conditions for services (the “Terms”) exclusively govern the provision of services by Sell on TikTok (“Service Provider”) to the purchaser of such services (“The Customer”).

Virtual Assistant (VA)

A  Virtual Assistant (VA) is a remote professional assigned to support and manage online businesses on platforms including Amazon, eBay, Shopify, and TikTok Shop. VA services may include, but are not limited to:

  • Customer Support:  Responding to customer inquiries, sharing tracking details, and managing returns or complaints.
  • Inventory Management:  Monitoring stock levels, updating listings, and coordinating with platform support teams.
  • Marketing Activities:  Managing advertising campaigns, social media marketing, content creation, and promotional activities.
  • Product Research:  Identifying potential products, analyzing market performance, and developing sourcing strategies.
  • Administrative Support:  Handling emails, data entry, and supplier communications.
  • Website Design:  Designing, updating, and maintaining Shopify or other ecommerce stores.
  • Bookkeeping & Reporting:  Tracking sales, profits, and generating platform performance reports.

Child Account

Child Account refers to limited or secondary access provided on platforms such as Amazon, Shopify, or TikTok Shop, allowing third parties (including VAs, partners, or employees) to access specific areas of the main account dashboard.

(b) The order confirmation provided to the Customer (the “Order Confirmation”) together with these Terms (collectively, the “Agreement”) constitutes the complete and exclusive agreement between the parties, replacing all prior discussions, representations, or agreements, whether written or oral. In the event of any inconsistency, these Terms shall prevail unless expressly stated otherwise in the Order Confirmation.

(c) These Terms supersede any general terms or conditions submitted by The Customer at any stage. The provision of services by Sell on TikTok does not imply acceptance of The Customer’s terms nor does it modify these Terms in any way.

Scope of Services

Sell on TikTok provides support in sourcing, managing, and optimizing ecommerce accounts and products for Amazon, eBay, Shopify, and TikTok Shop, including business models such as wholesale, private label, dropshipping, and ecommerce storefronts.

The Company does not guarantee specific results, financial performance, sales volume, or platform approvals unless explicitly stated in writing.

Additional services may be introduced from time to time and will be governed by these Terms along with any supplementary conditions provided.

Performance Dates

The Service Provider will use commercially reasonable efforts to meet any estimated timelines outlined in the Order Confirmation. All performance dates are indicative only and not guaranteed.

Client Responsibilities

The Customer agrees to:

  • Provide accurate, complete, and timely information required for service delivery.
  • Ensure compliance with all applicable laws and the policies of Amazon, eBay, Shopify, TikTok Shop, and other relevant platforms.
  • Maintain the confidentiality and security of all account login credentials.

Customer’s Acts or Omissions

If service delivery is delayed or prevented due to any action or inaction by The Customer or its representatives, the Service Provider shall not be considered in breach of this Agreement and shall not be liable for any resulting losses, costs, or delays.

Change Orders

(a) Any request to modify the scope or execution of services must be submitted in writing. The Service Provider will issue a written assessment detailing:

  • Required implementation time
  • Any adjustment to fees
  • Impact on service delivery
  • Other relevant performance considerations

(b) Changes shall only become effective upon written agreement by both parties (“Change Order”).

(c) The Service Provider may implement minor changes without prior approval if such changes do not materially affect services, fees, or timelines.

(d) Time spent evaluating change requests may be billed on a time-and-materials basis.

Fees and Payment

  • Service fees will be specified in the agreement or quotation.
  • Late or non-payment may result in service suspension or termination.
  • All fees are non-refundable unless explicitly stated otherwise.
  • Payments overdue by more than 30 days may incur interest at 1.5% per month or the maximum rate permitted by law.
  • Payments become non-refundable after 7 working days.

Taxes

The Customer is solely responsible for all applicable taxes, duties, or governmental charges related to the services provided under this Agreement.

Intellectual Property

Sell on TikTok retains ownership of its proprietary systems, tools, templates, and methodologies.
The Customer retains full ownership of their ecommerce accounts, products, and related intellectual property across all platforms.

Confidential Information

All non-public or confidential information shared by the Service Provider shall remain confidential and used strictly for service delivery. This obligation does not apply to information that is publicly available, previously known, or lawfully obtained from third parties. The Service Provider reserves the right to seek injunctive relief in case of breach.

Representations and Warranties

(a) The Service Provider warrants that services will be performed professionally and with reasonable skill and care.
(b) Any issues with service quality must be reported in writing within 10 days of discovery.
(c) Remedies are limited to correction, re-performance, or a proportionate refund at the Service Provider’s discretion.

Disclaimer of Warranties

Except as expressly stated, Sell on TikTok makes no warranties, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

  • The Company shall not be liable for indirect, incidental, or consequential damages.
  • No guarantees are provided regarding account approvals, rankings, or sales outcomes.
  • Platform suspensions or restrictions remain the responsibility of The Customer, although assistance may be provided where possible.
  • In cases involving counterfeit products, liability is limited to processing returns and issuing refunds where applicable.

Termination

Either party may terminate this Agreement by providing written notice.
Fees already paid are non-refundable, and no additional termination charges will apply.
All active services for Amazon, eBay, Shopify, and TikTok Shop will cease immediately upon termination.

Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the United Kingdom.
